1. Scope — business customers only
ELVIORUM Medical supplies products exclusively to businesses, healthcare professionals, clinics, laboratories and specialized practices acting in the course of their professional activity. We do not sell to consumers. By placing an inquiry or order you confirm that you act in a professional capacity and, where required, hold the qualifications or licences needed to purchase and use the products concerned.
These terms apply to all offers, order confirmations and deliveries unless otherwise agreed in writing. Conflicting terms of the customer apply only if we expressly accept them in writing.
2. Website use
The information on this website is provided for general professional information only. It does not constitute medical advice and does not replace the manufacturer's instructions for use, labelling or safety information. You may not use the website in any way that could damage, disable or impair it, or attempt to gain unauthorised access to any system.
3. Offers and contract formation
Product presentations on this website are non-binding and do not constitute an offer. A contract is formed only when we confirm an order in writing (including by email) or deliver the goods. We reserve the right to decline orders, in particular where regulatory requirements are not met.
4. Prices and payment
Prices are quoted in euro, exclusive of VAT and delivery costs unless stated otherwise. Invoices are payable within the period stated on the invoice. In the event of late payment, statutory default interest applies in accordance with Greek Law 4152/2013 transposing Directive 2011/7/EU on late payment in commercial transactions.
5. Delivery and transfer of risk
Delivery dates are approximate unless expressly agreed as binding. Risk passes to the customer on handover to the carrier. Goods remain our property until full payment has been received (retention of title).
6. Inspection and warranty
The customer must inspect goods on receipt and report visible defects or discrepancies in writing within 5 business days, and hidden defects promptly upon discovery. Warranty claims are governed by the Greek Civil Code and are limited, at our option, to replacement, repair or refund. Products must be stored and used in accordance with the manufacturer's instructions.
7. Regulatory compliance and vigilance
Medical devices are supplied in compliance with Regulation (EU) 2017/745 (MDR) and Regulation (EU) 2017/746 (IVDR) as applicable. Customers must report without delay any suspected incidents, complaints or non-conformities so that we can fulfil our distributor obligations, including traceability, vigilance and field safety corrective actions together with the manufacturer and the National Organization for Medicines (EOF).
8. Limitation of liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence we are liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract. Liability under mandatory product liability law (Greek Law 2251/1994, Art. 6) remains unaffected.
9. Intellectual property
All website content is protected by copyright. Product names and trademarks belong to their respective manufacturers. No licence is granted to use any content or trademark without prior written consent.
10. Data protection
We process personal data in accordance with our Privacy Policy.
11. Governing law and jurisdiction
These terms are governed by the laws of the Hellenic Republic, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The courts of Athens, Greece have exclusive jurisdiction for all disputes arising from or in connection with these terms.
12. Severability
If any provision of these terms is held invalid, the remaining provisions remain in full force. The invalid provision shall be replaced by a valid one that most closely reflects its economic purpose.
